Welcome to Squid. These Terms of Service ("Terms") govern your access to and use of Squid's website, analytics platform, and related services (collectively, the "Service"), operated by ScriptEngine, Inc. ("Squid," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and Squid's Privacy Policy, which is incorporated into these Terms by reference.
2. Changes to Terms
We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice by posting updated Terms or by other appropriate means. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
3. Access and Use of the Service
You must provide accurate, current, and complete information when registering for the Service and keep your account information up to date.
You are responsible for safeguarding your account credentials and for all activities that occur under your account.
You may use the Service only in compliance with these Terms and all applicable laws and regulations.
4. Privacy and Data Processing
Squid acts solely as a service provider and data processor on behalf of its customers with respect to data processed through the Service. Squid processes data only in accordance with customer instructions and applicable agreements.
Squid does not sell, share, or use customer data for its own advertising, marketing, or independent commercial purposes.
The parties' data processing obligations are governed by the Squid Data Processing Addendum available at https://asksquid.ai/dpa.
5. Customer Responsibilities
You are solely responsible for:
Determining the legality of your use of the Service
Providing all legally required notices to end users
Obtaining all required user consents, including consent for cookies, analytics, and tracking technologies
Ensuring your configuration and use of the Service complies with applicable privacy, data protection, and communications laws
Squid does not control customer websites, applications, content, or consent mechanisms.
6. Prohibited Uses
You may not use the Service:
General Prohibitions
In violation of any applicable law or regulation
To collect or process data without required disclosures or consents
For unlawful surveillance, interception of communications, or deceptive data collection practices
To attempt to re-identify anonymized or pseudonymized data except as authorized
To interfere with or disrupt the integrity or performance of the Service
Resale and Competitive Use Prohibitions
You expressly agree that you will not:
Resell, redistribute, sublicense, or make available the Service or any data obtained through the Service (including visitor identification data, analytics data, or any functionally similar or equivalent versions of such data) to any third party in any form
Create, compile, contribute to, or assist in creating any competing database, directory, visitor identification service, analytics platform, or any service that is competitive with or substantially similar to the Service
Use the Service to develop, inform, or enhance any product, service, or offering that competes with or replicates the functionality of the Service
Access or use the Service on behalf of any third-party entity or organization without express written permission from Squid
Combine, merge, or integrate data obtained through the Service with other datasets for the purpose of creating a competing service or database
For the avoidance of doubt, this includes prohibitions on:
Providing functionally equivalent visitor identification data to clients (e.g., "J. Smith, CEO, Acme Products" would be functionally equivalent to "Jane Smith, Chief Executive Officer, Acme Products, Inc.")
Using the Service to train or improve competing machine learning models or algorithms
Reverse engineering the Service to replicate its visitor identification methodology
If you wish to resell or redistribute data obtained through the Service, you must contact us in writing to negotiate a separate reseller agreement.
Technical Prohibitions
Reverse engineer, decompile, or disassemble the Service (in whole or in part)
Access the Service or extract data in a way that exceeds your authorized use or violates these terms
Use any manual or automated means (including "data scraping," crawlers, or bots) other than the APIs and interfaces we provide
Remove any proprietary notices or labels
Transmit any fictional, fake, or misleading information through the Service
Impersonate any person or entity in connection with your use of the Service
7. Intellectual Property Rights
The Service and all related content, features, and functionality are the exclusive property of ScriptEngine, Inc. and its licensors and are protected by applicable intellectual property laws.
These Terms do not grant you any ownership rights in the Service.
The Squid names and logos are trademarks of ScriptEngine, Inc., and may not be copied, imitated or used, in whole or in part, without our prior written permission.
8. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if continued use poses legal, security, or operational risk.
Upon termination, your right to use the Service will immediately cease.
If we terminate your access due to a violation of the Resale and Competitive Use Prohibitions in Section 6, you agree to immediately:
Cease all use of the Service and any data obtained through the Service
Delete or return all data obtained through the Service
Certify in writing that you have complied with the foregoing
9. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Squid makes no warranties of any kind, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.
Your use of the Service is at your sole risk.
10. Limitation of Liability
To the maximum extent permitted by law:
(a) Squid's total liability arising out of or related to this Agreement or your use of the Service, whether in contract, tort, or otherwise, shall not exceed the total amount paid by Customer to Squid in the twelve (12) months immediately preceding the event giving rise to liability.
(b) Squid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, even if Squid has been advised of the possibility of such damages.
(c) These limitations apply regardless of the legal theory under which liability is asserted and shall survive any failure of essential purpose of any limited remedy.
11. Customer Indemnification
You agree to defend, indemnify, and hold harmless ScriptEngine, Inc., its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
* Your use of the Service in violation of these Terms or applicable law
* Your failure to provide required notices or obtain required user consents
* Your data, content, or configuration of the Service
* Your breach of any representation or warranty in these Terms
12. No Squid Indemnification
Squid does not provide indemnification to Customer for third-party claims, regulatory actions, fines, penalties, or other liabilities as part of these standard Terms of Service. Customers requiring indemnification protection may:
* Obtain their own cyber liability or errors & omissions insurance; or
* Contact info@asksquid.ai to discuss custom enterprise agreements
Any indemnification terms, if agreed to in writing in a separately executed Order Form or Statement of Work, shall take precedence over this Section and will be subject to the specific terms negotiated in such separate agreement.
13. Equitable Relief
You acknowledge and agree that violation of Section 6 (Prohibited Uses), particularly the Resale and Competitive Use Prohibitions, would cause irreparable harm to Squid for which monetary damages would be an inadequate remedy.
Accordingly, you agree that in the event of any such violation, Squid shall be entitled to seek:
Immediate injunctive relief without the necessity of posting bond
Specific performance
Disgorgement of any profits or revenues derived from such violations
Reasonable attorneys' fees and costs of investigation and enforcement
These remedies are in addition to, and not in lieu of, any other remedies available to Squid at law or in equity.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
15. Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy and Data Processing Addendum, constitute the entire agreement between you and Squid regarding the Service.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
No Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment. Squid may assign these Terms at its discretion. You may not assign these Terms without Squid's prior written consent.
